EIDDI's founding principle is "We build it — you own it." All custom software, data models, unique system configurations, bespoke algorithms, and original creative works developed specifically for a client are transferred to the client upon final payment, under written IP assignment agreements.
Every client engagement includes an IP assignment clause in the service agreement. This agreement: (a) confirms transfer of all client-specific deliverables upon project completion and full payment; (b) grants the client exclusive, irrevocable rights to all bespoke deliverables; (c) defines any retained rights to pre-existing EIDDI tools, frameworks, or components incorporated into deliverables.
EIDDI retains ownership of: (a) pre-existing proprietary frameworks, libraries, and tools used to build client solutions; (b) general methodologies and know-how; (c) any components explicitly listed as EIDDI's pre-existing IP in the service agreement. Clients receive a perpetual, royalty-free licence to use retained EIDDI components as part of their delivered solution.
EIDDI does not create proprietary lock-in. All code, documentation, credentials, and access rights are handed over to clients at project close. Clients may continue, modify, or migrate their solutions without requiring EIDDI's ongoing involvement.

In the event of an unresolved dispute, both parties agree to first seek resolution through good-faith negotiation. If unsuccessful within 30 days, disputes shall be referred to mediation before escalating to arbitration or litigation under Pakistani law (venue: Lahore courts).
EIDDI accepts payments via the following platforms:
All engagements are governed by a written service agreement specifying payment milestones. Standard payment terms are: 50% deposit upon contract signing; 50% upon delivery or as per milestone schedule. Project invoices are issued via email and are due within 14 calendar days of issue date unless otherwise agreed in writing.
Invoices not paid within 14 days of due date may attract a late payment charge of 1.5% per month on the outstanding balance. EIDDI reserves the right to suspend active service delivery for accounts overdue by more than 30 days.
International clients are invoiced in USD by default. Invoicing in GBP, EUR, or PKR is available upon request. Exchange rates are determined at the time of invoice issuance using the Wise mid-market rate.
Prices quoted are exclusive of applicable taxes unless stated otherwise. Pakistani clients may be subject to applicable sales tax or withholding tax as required by FBR regulations. International clients are responsible for any applicable VAT, GST, or withholding taxes in their jurisdiction.
Official receipts and invoices are issued for all payments. Transaction records are maintained for a minimum of 7 years in compliance with applicable accounting and tax regulations.
EIDDI (SMC-PRIVATE) LIMITED is committed to operating a legitimate, compliant, and transparent business. We have a zero-tolerance policy for money laundering, terrorist financing, and all forms of financial crime.

EIDDI reserves the right to decline, suspend, or terminate any engagement where there is reasonable suspicion of illicit activity, regardless of engagement stage. Any suspicious transactions may be reported to relevant Pakistani financial intelligence authorities as required by law.
EIDDI's use of Payoneer and Wise means all transactions are subject to those regulated platforms' own AML/KYC policies, which include transaction monitoring, identity verification, and suspicious activity reporting obligations. EIDDI cooperates fully with all such platform requirements.
All transaction records, client identification documents, and due diligence documentation are retained for a minimum of 5 years in accordance with Pakistani AML regulations and international best practices.
