Intellectual Property Policy

Our IP position in plain English: Everything we build specifically for you belongs to you — in full, upon payment. No ongoing licence. No vendor dependency. No risk of losing access to your own product.
Section 1

Client-Owned Deliverables

Upon receipt of full payment for a project engagement, EIDDI Solutions LLC irrevocably assigns to the Client all rights, title and interest in all client-specific deliverables, including:

  • All source code written specifically for the engagement
  • Database schemas, data models and migration scripts
  • Design assets, UI components and brand materials created for the project
  • Configuration files, infrastructure-as-code scripts and deployment pipelines
  • Technical documentation, architecture diagrams and system documentation
  • All credentials, certificates and access tokens created for the project

This assignment is confirmed in writing in every Statement of Work. No separate assignment agreement is required. EIDDI retains no ongoing licence, claim or right to client-specific deliverables once payment is complete.

Section 2

EIDDI-Retained IP

EIDDI retains ownership of general-purpose tools, methodologies, frameworks, internal libraries and know-how developed independently of any specific client engagement. Where EIDDI incorporates its own pre-existing, non-client-specific tools into a deliverable, those components are licensed to the Client on a perpetual, royalty-free, non-exclusive, irrevocable basis for the purposes of operating the delivered project. This licence does not require any ongoing payment or relationship with EIDDI.

Section 3

Open-Source Components

Software deliverables may incorporate open-source libraries, frameworks and tools. EIDDI will document all third-party open-source components and their applicable licences in a Software Bill of Materials (SBOM) delivered at project close. The Client is responsible for ongoing compliance with those open-source licences. EIDDI will not intentionally incorporate open-source components whose licence terms would restrict the Client's ability to use, modify or distribute the delivered software for its intended purpose.

Section 4

Client's Pre-Existing IP

The Client retains full ownership of all intellectual property they provide to EIDDI for use in an engagement — including brand assets, data, existing codebases, designs and business logic. EIDDI is granted a limited, non-exclusive licence to use Client-provided IP solely for the purposes of delivering the agreed engagement. EIDDI makes no claim to Client-provided IP at any time.

All content on this website — including text, graphics, logos, service descriptions and layout — is the intellectual property of EIDDI Solutions LLC and may not be reproduced, distributed, modified or used in any form without prior written permission from EIDDI Solutions LLC.

EIDDI will investigate all legitimate claims and respond within 10 business days.
